  • We do not guarantee specific business results, financial gains, or performance outcomes.
  • We deliver services based on best practices, expertise, and agreed methodology.

4. Fees, Billing & Payment

All consulting fees, expenses, and payment terms are outlined in the contract or proposal governing each engagement.

Clients agree to:

  • Pay invoices within the specified payment period
  • Cover additional costs arising from scope changes, expedited work, or client-induced delays

Late payments may result in service suspension and interest charges as permitted by law.

5. Confidentiality

ACEEN treats client information as confidential. Both ACEEN and the client agree to:

  • Maintain confidentiality of proprietary, strategic, technical, or sensitive information
  • Use disclosed information solely for the purpose of fulfilling the engagement
  • Prevent unauthorized access or disclosure

This obligation continues after the termination of services.

Confidentiality exceptions apply when information is:

7. Third-Party Technologies & Integrations

8. SMS Messaging

ACEEN LLC offers a recurring text messaging program to provide appointment reminders, updates, and occasional informational alerts related to our services. By opting into our text messaging program, you agree to these Terms and Conditions.

8.1 User Consent and Opt-In
By providing your mobile phone number and opting in via our website form, you are giving ACEEN LLC express written consent to send you text messages at the number provided. This consent is electronic and serves as an agreement to receive recurring autodialed and non-autodialed messages. Your consent is not a condition of purchasing any goods or services.

8.2 Program Description:

  1. Purpose:The purpose of this program is to send you appointment reminders, updates about your service, and relevant information about ACEEN LLC.
  2. Frequency:You will receive approximately [e.g., 4] messages per month. Message frequency may vary depending on your interactions and appointment schedules.
  3. Cost:Message and data rates may apply to each text message sent or received, as provided in your mobile telephone service plan. Please consult your mobile carrier’s pricing plan. ACEEN LLC is not liable for any charges incurred.

8.3 Opt-Out and Help Instructions:

  1. To Stop Receiving Messages:You can cancel the SMS service at any time. Simply text the keyword STOPENDCANCELUNSUBSCRIBE, or QUIT to the short code or phone number you are receiving messages from. You will receive one final confirmation message stating that you have successfully unsubscribed. After this, you will no longer receive SMS messages from that program.
  2. For Help or Support:If you need assistance or have questions, text the keyword HELP to the number you are receiving messages from. You can also contact us directly at 1-443-678-9781 or via email at support@aceen.com.

8.4 Privacy:
We respect your privacy. Any information you provide through the SMS program will be handled in accordance with our Privacy Policy. We will not share, sell, rent, or lease your mobile information to unaffiliated third parties for their marketing purposes.

8.5 Age Restriction:
You must be at least thirteen (13) years old to use the ACEEN LLC messaging program. If you are under thirteen (13) years of age, you are not permitted to use this service.

8.6 Disclaimer of Warranty:
The service is provided “as is.” The mobile carriers (including T-Mobile, AT&T, Verizon, etc.) are not liable for delayed or undelivered messages. We reserve the right to change the service terms or cancel the program at any time

9. Intellectual Property Rights

9.1 Ownership

  • ACEEN retains ownership of all methodologies, frameworks, tools, templates, code, or intellectual property created prior to or during a project unless explicitly transferred in writing.
  • Clients receive a license to use deliverables for internal business purposes.

9.2 Client Data

  • Clients retain ownership of their own data, documentation, business information, and system credentials.
  • ACEEN will not use client data for marketing, training, or external purposes without consent.

10. Limitation of Liability

To the maximum extent permitted by law:

  • ACEEN is not liable for indirect, incidental, consequential, or punitive damages
  • Liability is limited to the total amount paid by the client for the specific project
  • ACEEN is not responsible for:
    • Losses arising from use or misuse of deliverables
    • Third-party system failures
    • Security breaches caused by client-side weaknesses
    • Business decisions made based on recommendations

11. Indemnification

Clients agree to indemnify and hold ACEEN harmless from any claims, damages, losses, or expenses arising from:

  • Misuse of our services or deliverables
  • Breaches of these Terms
  • Client-side security failures
  • Unauthorized use of ACEEN’s intellectual property

12. Termination

Either party may terminate a service agreement by following the termination clause in the relevant contract or proposal.

Upon termination:

  • The client must pay all outstanding fees and approved expenses
  • ACEEN will return or delete client data in accordance with our Privacy Policy
  • Licenses granted to the client may end unless otherwise stated

13. Website Availability

ACEEN strives to keep the website running smoothly, but we do not guarantee:

  • Uninterrupted access
  • Error-free operation
  • Freedom from bugs, malware, or service interruptions
